Intown Ads Creator Agreement

This Creator Agreement (“Agreement”) is entered into between Intown Ads LLC (“Company”) and __________________ (“Creator”).

1. Scope of Work

Creator agrees to produce short-form video content promoting a local business, product, or service as directed by Intown Ads.

Content may include, but is not limited to:

Short-form videos for platforms such as Instagram Reels, TikTok, and YouTube Shorts
Behind-the-scenes promotional content
Testimonial or review-style content
Lifestyle or demonstration videos featuring a local business

Specific deliverables, deadlines, and project requirements will be communicated prior to each project.

2. Compensation

Creator will be paid the agreed upon sum for the agreed deliverables.

Payment will be issued upon completion and delivery of the content unless otherwise agreed in writing.

Creator understands and agrees that they are responsible for all taxes related to compensation received under this Agreement.

3. Independent Contractor Status

Creator is an independent contractor and not an employee, partner, or agent of Intown Ads.

Creator is responsible for:

Their own taxes
Insurance
Equipment
Production expenses unless otherwise agreed

Nothing in this Agreement shall be interpreted as creating an employer-employee relationship.

4. Content Ownership & License

Creator agrees that all content created under this Agreement is provided to Intown Ads with a perpetual, worldwide, irrevocable, royalty-free license.

Intown Ads and its clients may use the content for:

Paid advertising
Social media marketing
Client marketing campaigns
Website promotion
Digital display advertising
Connected TV (CTV) advertising
Television advertising
Streaming platform advertising
Any promotional or marketing use

Intown Ads may edit, modify, crop, combine, caption, repurpose, or otherwise adapt the content as needed for marketing or advertising purposes.

Creator acknowledges that no additional licensing fees or royalties will be owed for such use.

5. Creator Likeness & Media Release

Creator grants Intown Ads LLC and its clients the irrevocable right to use the Creator’s:

Name
Image
Likeness
Voice
Performance
Social media username

in connection with the content created under this Agreement.

This permission includes use in:

Social media advertising
Paid digital advertising
Television commercials
Connected TV advertising
Websites and marketing materials
Client promotional campaigns

Creator understands the content may be used in paid advertising campaigns and waives the right to inspect or approve final advertising placements.

6. Creator Posting (If Applicable)

If the Creator posts the content on their own social media account as part of the campaign, the post must remain live for a minimum of 30 days unless otherwise agreed.

Creator agrees not to remove or alter the content during this period without written permission from Intown Ads.

7. Compliance With Platform Guidelines

Creator agrees that all content produced must comply with applicable advertising guidelines and platform policies, including disclosure requirements if applicable.

8. No Guarantee of Future Work

This Agreement does not guarantee future projects, assignments, or compensation beyond the agreed deliverables.

Each campaign may be negotiated separately.

9. Payment Information & Tax Documentation

Creator agrees to provide a completed Form W-9 prior to receiving payment.

If total payments to Creator exceed $600 within a calendar year, Intown Ads may issue a Form 1099-NEC in accordance with IRS regulations.

10. Limitation of Liability

Creator agrees that Intown Ads and its clients are not responsible for any indirect or consequential damages arising from the use of the content.

11. Governing Law

This Agreement shall be governed by and interpreted under the laws of the State of Georgia.

12. Entire Agreement

This Agreement represents the entire understanding between the parties and supersedes any prior discussions or agreements.

Any modifications must be made in writing and signed by both parties.
